1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "Merchant", "Client", or "you") and Celirox AI ("Celirox", "we", "us", or "our"). By installing our Shopify Applications (including SmartFlow Checkout and Celirox Store Operator), registering for the Celirox AI Operator platform, or connecting any software integrations, you agree to be bound by these Terms.

If you are agreeing to these Terms on behalf of a company, store, or other legal entity, you represent and warrant that you have full legal authority to bind such entity to these Terms.

2. Description of Services

Celirox provides autonomous AI, workflow automation, and checkout optimization tools for modern commerce, including:

• Shopify Applications: Checkout extensions, post-purchase rules, custom payment and shipping logic, and automated store management tools.
• Celirox AI Operator Platform: An operational integrity engine and autonomous workforce platform designed to continuously monitor business invariants, detect data drift, and execute cross-platform data reconciliation across third-party SaaS services (such as Shopify, Stripe, HubSpot, Salesforce, Slack, QuickBooks, and Klaviyo).

3. User Accounts & Organization Security

To access Celirox platform services, you may be required to register an account or install our application on your e-commerce store.

• You are responsible for maintaining the confidentiality of your account credentials, API tokens, and administrative logins.
• You are solely responsible for all activities, automated workflows, and data changes executed under your organization’s account.
• You must notify Celirox immediately upon becoming aware of any unauthorized account access or security breach.

4. OAuth Connections & Third-Party Integration Permissions

Celirox products connect to third-party services via OAuth 2.0 or authorized API credentials to synchronize state, verify invariants, and execute automated actions.

• Authorization Grant: By authorizing an integration, you grant Celirox permission to access, query, read, and modify data in the connected third-party platform strictly within the requested API scopes.
• Credential Protection: All connected integration credentials, OAuth tokens, and secret keys are stored using AES-256 encryption. Plain-text credentials are never accessible or viewable by human personnel at Celirox.
• Third-Party Terms Compliance: You are responsible for ensuring that your use of third-party platforms with Celirox complies with those third parties' respective terms of service and API policies.
• API Limits & Availability: Celirox is not responsible for service interruptions, data drift, or failures caused by third-party API downtime, scope revocations, rate limiting, or protocol changes.

5. AI Operator Execution & Human-in-the-Loop (HITL) Model

Celirox AI Operator utilizes state-driven invariant rules and artificial intelligence models to inspect business operations and recommend or execute fixes.

6. Billing, Token Credits & Application Charges

Celirox provides transparent pricing tailored to app services and autonomous AI execution:

• Shopify Applications: Charges for Shopify apps (such as SmartFlow Checkout and Store Operator) are billed directly through Shopify’s Billing API in accordance with Shopify merchant terms.
• Celirox AI Operator Token Billing: Usage for the Celirox AI Operator SaaS platform is token-based / credit-based rather than forced fixed monthly recurring subscriptions. Tokens or execution credits are consumed as AI Operators perform invariant checks, data drift monitoring, auto-reconciliation, and operational tasks. Users purchase token credit packages or pay based on consumed execution units.
• Credit Management & Non-Refundability: Token credits are non-refundable once consumed for processing operational tasks and AI executions. Users can inspect real-time token balances, view execution logs, and purchase top-up credits at any time via the Celirox dashboard.

7. Intellectual Property & Customer Data Rights

Your Data: You retain full ownership, title, and intellectual property rights in and to all business data, customer records, and assets submitted or connected to Celirox.

Celirox Platform: Celirox retains all rights, title, and interest in and to the Celirox AI platform, software code, AI algorithms, Store Operator interfaces, trademarks, and documentation. You may not copy, reverse engineer, decompile, or modify any portion of our products.

8. Acceptable Use Policy

You agree not to use Celirox products to:

• Violate any local, state, national, or international laws or regulations.
• Transmit malicious code, viruses, spyware, or harmful automated scripts.
• Bypass API rate limits, attempt unauthorized access to other organization accounts, or compromise system infrastructure.
• Process unauthorized personal health information, financial fraud schemes, or unlawful data payloads.

9. Disclaimer of Warranties & Limitation of Liability

Celirox products, AI operators, and Shopify applications are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

To the maximum extent permitted by law, Celirox shall not be liable for any indirect, incidental, special, consequential, or punitive damages, loss of profits, data corruption, or business interruption arising out of or in connection with your use or inability to use our services.

10. Termination & Modifications

We reserve the right to modify these Terms at any time. Material updates will be communicated by updating the "Last Updated" date at the top of this page. Continued use of our applications or platform after updates constitutes acceptance of the modified Terms.

We reserve the right to suspend or terminate accounts that violate these Terms or pose a security risk to our infrastructure.
